1Agreeing to these terms

By visiting or using the Site you agree to these terms and to our Privacy Policy. If you do not agree, do not use the Site. If you use the Site for a business, you confirm you are authorized to accept these terms for that business.

2How these fit with client agreements

If you are a KlinIQ client, your Master Service Agreement, any Order Form, and our Terms of Service govern the services we provide to you. These terms cover the Site itself. If a term here conflicts with your signed agreement, the signed agreement controls for the services.

3Who may use the Site

The Site is for business use by people 18 or older. It is not directed to children, and we do not knowingly collect information from them.

4Using the Site

You may browse the Site, download the materials we make available, and contact us. You may not:

• Copy, republish, distribute or resell any part of the Site without our written permission
• Scrape, crawl, index or harvest the Site with automated tools, or take our content to train a machine-learning model
• Reverse engineer, decompile or attempt to derive the source of anything behind the Site
• Probe, scan or try to gain unauthorized access to the Site, its systems or anyone’s account
• Interfere with the Site’s operation, including by overloading it or introducing malicious code
• Upload anything unlawful, harmful, deceptive, or that infringes someone else’s rights
• Use the Site to send unsolicited marketing, or to collect contact details for that purpose
• Misrepresent who you are, what business you are with, or your authority to act for it
• Use the Site in any way that breaks the law or a third-party platform’s rules

5Accounts and portals

Some areas, including our onboarding portal, require credentials. Keep them confidential, use them only for the business they were issued to, and tell us at support@kliniq.tech as soon as you suspect misuse. You are responsible for what happens under your credentials. We may suspend access to protect the Site or another user.

6What we own

The Site and everything on it, including our software, workflows, prompts, automations, designs, text, graphics, video, data compilations, and the KlinIQ name, logo and brand, belongs to Kliniq LLC or our licensors and is protected by intellectual property laws. Nothing here transfers ownership or grants a license beyond viewing the Site, other than what we grant in writing. Our client agreements grant a separate, limited license to use the services.

Third-party names, logos and marks that appear on the Site belong to their owners and are used to identify their products and services.

7What you send us

If you send us an idea, suggestion, testimonial, review or other feedback, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use it in our business, including in marketing, and we owe you nothing for it. Do not send anything you are not free to share or that someone else owns.

Do not send confidential information through the Site expecting us to keep it secret unless we have signed an agreement that says we will.

8No patient information through the Site

9Calls, texts and email

When you give us your phone number or email address, you agree we may contact you about your inquiry and about our services, including by automated call or text where you have given the consent the law requires. Message frequency varies. Message and data rates may apply. Reply STOP to any text to opt out and HELP for help, or use the unsubscribe link in any marketing email.

If you become a client, you are responsible for the consents required to contact your own patients, leads and customers, including under the Telephone Consumer Protection Act, CAN-SPAM, A2P/10DLC registration and do-not-call rules, as set out in our Master Service Agreement.

10No promises about results

Any figures, case studies, examples, testimonials or results shown on the Site describe what happened for a specific business at a specific time. They are illustrative, early and not typical, and they are not a promise or guarantee of what your business will get. Results depend on your market, your offer, your pricing, your advertising spend, your licensing and how your team handles the leads and bookings we deliver.

11Not medical or professional advice

Nothing on the Site is medical, legal, tax, accounting or financial advice, and nothing on it creates a professional relationship of that kind. Our services are marketing, communication and automation systems. They are not a medical record or system of record and do not replace your clinical or professional judgment or your own compliance obligations.

12Links and third-party services

The Site links to other companies’ websites, and our services rely on third-party platforms including Meta, Google, Stripe, Twilio and booking systems. We do not control them and are not responsible for their content, availability, outages, pricing changes, policy changes, or decisions they make about your accounts, ads or listings. Your use of a third-party service is governed by that company’s terms.

13Copyright complaints

If you believe material on the Site infringes your copyright, email support@kliniq.tech with:

1. 1Your contact details.
2. 2Identification of the work.
3. 3The location of the material on the Site.
4. 4A statement that you believe in good faith the use is not authorized.
5. 5A statement that the information is accurate and, under penalty of perjury, that you are authorized to act for the owner.
6. 6Your physical or electronic signature.

We remove infringing material and may end access for repeat infringers.

14The Site is provided as is

We work to keep the Site accurate and available, but we provide it “as is” and “as available,” without warranties of any kind, express, implied or statutory, including merchantability, fitness for a particular purpose, title and non-infringement. We do not promise the Site will be uninterrupted, timely, secure or error-free, or that any content is complete or current. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

15Limits on what we owe you

If you are a client, the limits in your Master Service Agreement apply to the services.

16Your indemnity

You will defend, indemnify and hold harmless Kliniq LLC and its owners, officers, employees, affiliates and contractors from any claim, damage, liability, penalty, cost or expense, including reasonable attorneys’ fees, arising from your use of the Site, anything you submit, your breach of these terms, or your violation of any law or third-party right.

17Florida law and how disputes are handled

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these terms or the Site will be resolved exclusively by binding arbitration in Miami, Florida, under the rules of the American Arbitration Association, and judgment on the award may be entered in any court of competent jurisdiction.

18Suspending access

We may change, suspend or discontinue any part of the Site at any time, and we may block access if you breach these terms or if we need to protect the Site or others. Sections that by their nature should survive, including sections 6, 7, 14, 15, 16 and 17, survive the end of your access.

19General

These terms, together with our Privacy Policy and, for clients, the Master Service Agreement and Terms of Service, are the entire agreement about the Site. If a provision is held unenforceable, the rest stays in effect and that provision is modified to the least extent needed to be enforceable. Our failure to enforce a provision is not a waiver. You may not assign these terms; we may assign them in connection with a merger, acquisition or sale of assets. We may update these terms, and the effective date at the top shows the last change. Using the Site after a change means you accept it.
